▸ Must have an active MC Authority
▸ Must have a valid COI (Certificate of Insurance)
▸ Must have at least $1,000,000 Liability Insurance
▸ Must have $100,000 Cargo Insurance
▸Must have a signed Dispatch Carrier Agreement
▸ Must be ready to run (minimum 3–5 days per week)
▸ Must have updated truck/trailer documentation

This Dispatch Service Agreement (“Agreement”) is between Calhoun Dispatch Solutions LLC (“Dispatcher”) and the Motor Carrier (“Carrier”).
The purpose of this Agreement is to define responsibilities, limitations, and protections for both parties.

1. Purpose of Agreement
This Agreement outlines the terms under which Calhoun Dispatch Solutions LLC provides administrative dispatching services to the Carrier. The Dispatcher is not a broker, not a motor carrier, and not responsible for freight movement.

2. Independent Contractor Status
Calhoun Dispatch Solutions LLC operates only as an independent contractor. No employer–employee or broker–carrier relationship is created.

3. No Control of Equipment
The Carrier retains full control over all trucks, drivers, equipment, and safety operations. The Dispatcher does not own or operate any vehicle.

4. Dispatch Services Provided
Dispatcher provides load searching, rate negotiation, paperwork, and communication services. Carrier must approve all loads.

5. Load Approval
Loads must be approved by the Carrier. Fees remain owed once the Carrier accepts a load.

6. Dispatch Fees
Fees are charged per load or percentage and become due upon load acceptance.

7. Carrier Responsibilities
Carrier is fully responsible for equipment, compliance, safety, drivers, insurance, repairs, accidents, and freight.

9. Hold Harmless & Indemnification
Carrier agrees to defend and hold harmless Calhoun Dispatch Solutions LLC from any claims arising from transportation activities.

10. Insurance Requirements
Carrier must maintain $1,000,000 auto liability and $100,000 cargo insurance.

11. No Brokerage
Dispatcher does NOT act as a broker and does not arrange freight under its own authority.

12. Communication Authorization
Carrier authorizes Dispatcher to communicate with brokers and shippers for administrative tasks only.

13. Term & Termination
Either party may cancel with 24 hours written notice. Fees must be paid before termination.

14. Governing Law
This Agreement is governed by the laws of the State of California.

15. Entire Agreement
This Agreement represents the full understanding between the Parties and replaces any prior agreements.
